End User License Agreement

By purchasing, installing, activating, or using the Software, you agree to be bound by this Agreement.

1. Grant of License

BoxxKandiTM Software Studio grants you a non-exclusive, non-transferable, non-sublicensable license to use the software application(s) ("Software") in accordance with the terms of this EULA. The license granted is perpetual unless terminated as set forth herein. This license grants usage rights only. Ownership remains with BoxxKandiTM Software Studio.

2. License Types

Licenses are issued per user or per company (not per device).

All licenses are restricted to a single individual or a single legal entity. Sharing access between multiple individuals is strictly prohibited.

3. Scope of License

You may:

• Install and use the Software on the number of devices specified at purchase
• Make one backup copy of the Software for archival purposes
• Transfer the Software to another device you own, provided you remove it from the original device

4. Activation & Internet Requirement

The Software requires an internet connection for license activation and verification. A valid license key must be entered to activate the Software. Failure to activate may result in restricted or disabled functionality.

5. Permitted Use

You may use the Software for:

• Live streaming
• Radio broadcasting
• Commercial audio production
• Paid content creation

You may monetize outputs created using the Software without restriction.

6. License Restrictions

You may NOT:

• Copy, modify, or distribute the Software except as expressly permitted
• Reverse engineer, decompile, disassemble, or attempt to derive the source code
• Modify or create derivative works
• Rent, lease, or lend the Software to third parties
• Resell, redistribute, sublicense, or share license keys
• Use one license across multiple users
• Use the Software for any unlawful purpose
• Remove or alter any proprietary notices
• Use the Software to create a competing product
• Transfer, sell, or assign the license to another party without written consent
• Bypass or interfere with licensing or activation systems

7. Anti-Piracy & License Enforcement

Any unauthorized use, distribution, or duplication of the Software is strictly prohibited. Licensor reserves the right to:

• Monitor license usage for compliance
• Investigate suspected abuse or fraud
• Suspend or revoke license keys without notice

License keys may be revoked if abuse, sharing, or fraud is detected.

8. Enterprise License Audit Rights

For Enterprise licenses, Licensor reserves the right to request reasonable verification of license compliance. This may include:

• Device usage confirmation
• License allocation records

Failure to comply may result in license suspension or termination.

9. Ownership & Intellectual Property

The Software is licensed, not sold. BoxxKandiTM Software Studio retains all right, title, and interest in and to the Software, including all intellectual property rights. All rights, including trademarks (BoxxKandiTM and BoomRexTM), remain the exclusive property of Licensor. This EULA does not grant you any rights to trademarks or service marks of BoxxKandiTM. All rights not expressly granted are reserved.

10. Updates and Upgrades

BoxxKandiTM may provide updates, patches, or upgrades to the Software. Such updates shall be governed by this EULA unless separate terms are provided. Major version upgrades may require additional purchase.

11. Technical Support

Technical support is available through our support channels. Support availability and response times may vary. We reserve the right to modify or discontinue support at any time.

12. Early Access Notice

The BoxxKandiTM BoomRexTM Software is an early access version (v1.0.0). Features may change, and bugs may exist. You acknowledge and accept the risks associated with early-stage software.

13. Refund Policy

The BoxxKandiTM BoomRexTM Software includes a no-questions-asked refund policy valid for 14 days from the date of purchase. After 14 days, all sales are final. For full details, please refer to our Refund Policy.

14. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. BOXXKANDITM SOFTWARE STUDIO DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Licensor does not guarantee:

• Error-free operation
• Compatibility with all systems
• Continuous or uninterrupted service

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL BOXXKANDITM SOFTWARE STUDIO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES; LOSS OF USE, DATA, OR PROFITS; OR BUSINESS INTERRUPTION) HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY.

To the fullest extent permitted by law, Licensor shall not be liable for:

• Data loss
• Hardware or software damage
• Loss of business or profits
• Service interruption

Total liability shall not exceed the amount paid for the Software.

16. Indemnification

You agree to indemnify and hold harmless Licensor from any claims, damages, or legal actions arising from your use or misuse of the Software.

17. Term and Termination

This EULA is effective until terminated. Your rights under this license will terminate automatically without notice if you fail to comply with any of its terms. Upon termination:

• You must cease all use of the Software
• You must destroy all copies of the Software in your possession
• Sections 6, 9, 14, 15, 16, and 17 shall survive termination

18. Governing Law

This EULA shall be governed by the laws of the Republic of South Africa. Any disputes shall be resolved in the courts of the applicable jurisdiction.
